What happens to transparent areas of my PNG?

They're filled in with solid white before the JPG is created — JPG has no alpha channel, so some background color has to be chosen, and white is the standard, predictable choice.

Will I lose image quality?

Yes, some — this is a real lossy re-encode. It's usually not very noticeable for photos, but sharp edges or text can show minor compression artifacts.
